USERGROUPS TERMS OF SERVICE
Welcome to UserGroups (“we,” “our,” or “us”). These Terms of Service (“Terms”) govern your use of the UserGroups platform, including our mobile application and website (collectively, the “Service”). By accessing or using our Service, you agree to be bound by these Terms.
If you do not agree to these Terms, you may not access or use our Service. If you are accessing and using the Service on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.
2. DESCRIPTION OF SERVICE
UserGroups is a social platform that enables users to:

Create and join professional communities (“UserGroups”)
•
Share content, participate in discussions, and engage with other members
•
Organize and attend events with integrated ticketing
•
Create and manage spaces within UserGroups for focused discussions
•
Follow other users and receive real-time notifications
•
Process payments for event tickets through integrated payment systems
3. ELIGIBILITY AND ACCOUNT REGISTRATION
You must be at least 13 years old to use our Service. If you are between 13 and 18 years old (or the age of majority in your jurisdiction), you may only use the Service with the consent and supervision of a parent or legal guardian.
To access certain features of the Service, you must create an account. You may register using:

Email address and password
•
Magic link authentication
•
Maintaining the confidentiality of your account credentials
•
All activities that occur under your account
•
Notifying us immediately of any unauthorized use of your account
•
Ensuring the accuracy of your account information
3.4 One Account Per Person
You may only create and maintain one account. Creating multiple accounts or impersonating others is prohibited.
4. USER-GENERATED CONTENT
You retain ownership of any content you create, upload, or share through the Service (“User Content”), including:

Code snippets and technical content
•
Event descriptions and materials
4.2 License to UserGroups
By posting User Content, you grant UserGroups a worldwide, non-exclusive, royalty-free license to:

Display, distribute, and promote your content on the Service
•
Modify or adapt your content for technical or operational purposes
•
Create derivative works for platform functionality (e.g., thumbnails, previews)
•
Use your content for marketing and promotional purposes (with attribution)
All User Content must comply with our Community Guidelines. You may not post content that:

Is illegal, harmful, threatening, abusive, or defamatory
•
Violates intellectual property rights
•
Contains spam, malware, or phishing attempts
•
Promotes violence, discrimination, or hate speech
•
Includes personal information of others without consent
•
Is sexually explicit or inappropriate for a professional environment
•
Review, monitor, and remove User Content at our discretion
•
Suspend or terminate accounts for policy violations
•
Cooperate with law enforcement regarding illegal content
•
Use automated systems to detect and prevent policy violations
Eligible users may create UserGroups subject to our approval process. UserGroup creators (“Owners”) have enhanced responsibilities and capabilities, including:

Setting UserGroup policies and guidelines
•
Appointing administrators and moderators
•
Creating and managing spaces within the UserGroup
•
Organizing events and managing tickets
UserGroups may have multiple administrative roles:
•
Owner: Full control over the UserGroup
•
Super Admin: Advanced administrative capabilities
•
Event Admin: Event creation and management permissions
•
Moderator: Content moderation capabilities
5.3 Member Responsibilities
•
Follow UserGroup-specific rules and guidelines
•
Respect other members and maintain professional conduct
•
Use spaces and events for their intended purposes
•
Report violations of community standards
Each UserGroup may establish additional rules and guidelines, provided they do not conflict with these Terms or applicable law.
Authorized users may create events within UserGroups, including:

Online and in-person gatherings
•
Private and public events
•
Events with limited capacity
6.2 Ticket Sales and Payments
•
Payment processing is handled through Stripe
•
Event organizers are responsible for tax compliance
•
Tickets are non-transferable unless specified by the organizer
•
QR codes are generated for ticket verification
6.3 Event Organizer Responsibilities
•
Provide accurate event information
•
Honor ticket sales and event commitments
•
Comply with applicable laws and regulations
•
Handle attendee communications and support
•
Manage refunds according to their stated policies
6.4 Attendee Responsibilities
•
Provide accurate registration information
•
Follow event rules and guidelines
•
Arrive on time and prepared for the event
•
Respect other attendees and organizers
6.5 Cancellations and Refunds
•
Event organizers may cancel events with appropriate notice
•
Refund policies are set by individual event organizers
•
UserGroups may facilitate refunds but is not responsible for organizer policies
•
Platform fees may be non-refundable
All payments are processed through Stripe, our third-party payment processor. By making a purchase, you agree to Stripe’s terms of service and privacy policy.
UserGroups may charge fees for:
•
Premium UserGroup features
•
Event promotion and marketing
•
Advanced analytics and reporting
•
Refund requests must be directed to the event organizer
•
Payment disputes should be reported through our support system
•
Chargebacks may result in account suspension pending resolution
The Service and all original content, features, and functionality are and will remain the exclusive property of UserGroups. They are protected by applicable copyright, trademark, and other intellectual property laws, whether registered or unregistered.
“UserGroups,” our logo, and any related names, designs, or slogans are trademarks of UserGroups. You may not use these marks without our prior written permission.
We respect intellectual property rights and respond to valid DMCA takedown notices. To report copyright infringement, contact us at DMCA@usergroups.com with:

Location of the infringing material
•
Good faith statement of infringement
•
Statement of accuracy under penalty of perjury
9. PRIVACY AND DATA PROTECTION

11. SUSPENSION AND TERMINATION
You may delete your account at any time through your account settings. Upon deletion:

You will lose access to all UserGroups and events
11.2 Termination by UserGroups
We may suspend or terminate your account if you:

Violate these Terms or our Community Guidelines
•
Engage in fraudulent or illegal activity
•
Pose a security risk to our Service or users
•
Fail to respond to support requests regarding policy violations
11.3 Effect of Termination
•
Your access to the Service will be immediately revoked
•
You remain liable for any outstanding obligations
•
Provisions of these Terms that should survive will continue to apply
12. DISCLAIMERS AND LIMITATIONS OF LIABILITY
THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
12.2 User Content Disclaimer
We do not endorse or guarantee the accuracy, reliability, or quality of User Content. Users are solely responsible for their content and interactions.
12.3 Third-Party Services
Our Service integrates with third-party services (e.g., Stripe, Apple, Google). We are not responsible for the availability, security, or functionality of these services.
12.4 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, USERGROUPS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION.
Our total liability for any claims arising from your use of the Service shall not exceed the amount you paid to UserGroups in the twelve months preceding the claim.
You agree to indemnify and hold harmless UserGroups, its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including attorney fees) arising from:

Your violation of these Terms
•
Your violation of any third-party rights
These Terms and any disputes arising out of or relating to them are governed by the laws of England and Wales, without regard to conflict of law principles.
Before filing any formal claim, you agree to contact us at support@usergroups.com and make a good faith effort to resolve the matter informally.
If a dispute cannot be resolved informally, it shall be subject to the exclusive jurisdiction of the courts of England and Wales, and you consent to the personal jurisdiction of those courts.
You agree to resolve disputes individually and waive the right to participate in class actions or representative proceedings.
These Terms constitute the entire agreement between you and UserGroups regarding the Service.
We may modify these Terms at any time by posting the updated version on our Service. Continued use after modifications constitutes acceptance of the new Terms.
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
You may not assign these Terms without our consent. We may assign these Terms without restriction.
Our failure to enforce any provision does not constitute a waiver of our right to enforce that provision in the future.
